1. You must confirm that you are over 18 and UK permanent resident.  You are the legal owner/registered keeper of this business. You do not have any county court judgment against you or your business and you are not a bank defaulter.
2. You are agreeing in a legally binding contract and enforceable in a court of law.The minimum term of this agreement is 12(Twelve) months and may be renewed at the available options.
3. You must agree that you have given permission to Crystal Music to run credit check against you and your Business/company.
4. You must confirm that Crystal Music will keep your business records for verification, quality and other marketing purposes.
5. The terms will be used for this agreement are of Crystal Music (“licensor”) and you/your business/company (“licensee”).
6. The Licensor grants to the Licensee the nonexclusive right to play the recordings delivered to the Licensee either in CD format or digitally (App Based) at the commencement of this Agreement (the recordings) at the Licensee’s premises ( the address ) at the stated address overleaf PROVIDED that the right to reproduce, sell or allow third parties to use the Recording is expressly excluded from the rights granted to the Licensee. No License is granted under this Agreement to use the Recordings at any other premises saved for the Premises.
7. The License acknowledges and agrees that Crystal Music retains all rights, title and interest in and to the Work and that neither title nor any ownership interest in or to the Work is transferred to the Licensee by virtue of this Agreement. Crystal Music shall also retain the right to use, reproduce or display the Work solely to demonstrate the Work as part of his or her professional portfolio. Without any limitation to any other rights that Crystal Music may retain.
8. The Licensor further warrants that no royalties will be payable to any third parties and that no Performing Rights Society (PRS) or Phonographic Performance Limited (PPL) Licenses will be required as a result of the use of the Recordings. For the avoidance of doubt this License only covers the provided Recordings and not music from any other source or sources.
9. Any liability for any direct, indirect or consequential loss or damage incurred by the Licensee in connection with the use of Recordings is expressly excluded unless caused by a breach of contract or negligence. This does not affect our liability for death or personal injury arising from our negligence nor our liability for fraud or any other liability that cannot be excluded or limited by law.
10. All recordings provided by Crystal Music to the Licensee are the property of Enerzico Ltd and therefore any loss or damage to the recordings is chargeable by Crystal Music. Replacement of each album may be available at the cost of £9.99 plus pp& VAT. Licensee may have to pay the entire package and postage cost for replacement request every time.
11. In addition to the representations and warranties made by the licensee, each of Crystal Music and the licensee hereby represent and warrant that it, or he or she, has the right to enter into this legally binding Agreement.
12. You must confirm that No returns/refunds accepted once the items have been delivered to you.
13. At the expiry of this Agreement or on termination due to failure to pay the monthly fee the Licensee shall return the Recordings and delete the same in any manner. A termination notice period of 1 calendar month will be required in writing.
14. License Certificates will auto renew to preserve continuity. You must agree that Enerzico ltd will impose renewal recurring charges from your same payment card/bank unless agreed otherwise.
15. If payment is not made of three monthly instalments the entire fee will become payable. Debt collection fees of 15% of the total amount outstanding may be charged by the Licensor together with interest at 8% per annum on any outstanding amount due under this Agreement.
16. Missed Direct Debits will be charged at £10. A cancelled Direct Debit instruction will be charged £25. A returned cheque will be charged at £15.
17. The Licensee agrees not to assign or otherwise part with possession of the benefit or burden of this Agreement without the prior consent of the company.
18. The relationship between Crystal Music and the licensee under this Agreement is that of Independent contractors. For clarification purposes, the parties are not joint ventures, partners, principal and agent, or employer and employee. Neither party shall have the power to bind or obligate the other any manner.
19. This Agreement shall be inure to the benefit of, and be binding upon, Crystal Music and the Licensee, and their respective successors and assigns. Nothing in this agreement, express or implied, is intended to confer upon any person or entity, other than Crystal Music and the Licensee, and their respective successors and assigns, any rights, remedies, obligations or liabilities under or by reason of this Agreement.
20. If any term or provision of this agreement is invalid, illegal or unenforceable, all other terms and conditions of this Agreement shall nevertheless remain in full force and effect.
21. You agreed to receive Email  promotions from Enerzico/Crystal music for update & marketing purpose.
